Code of Conduct of the Luxembourg Agribusiness Association

The Luxembourg Agribusiness Association (“LAA”) recognises the profound impact of the agribusiness sector on the welfare of others and the Planet. We acknowledge a personal responsibility to our peers and the communities within which we operate, committing ourselves to the highest standards of ethical and professional conduct. This code of conduct outlines the behavioural and ethical framework of the LAA and its members. It is intended to guide LAA Members in conducting their business in alignment with the mission, values, and principles of the LAA, ensuring the smooth functioning of our association. Each LAA Member is subject to this Code of Conduct. Any violation of this Code shall constitute grounds for expulsion from LAA, without prejudice to the rights of LAA, any LAA Member, or any other affected party to pursue appropriate actions against the offending Member.

1. Definitions

  • LAA: the Luxembourg Agribusiness Association, established on April 18th, 2024, with its registered office at 243 Val des Bons Malades, 2121 Luxembourg, Grand Duchy of Luxembourg.
  • Corporate: A legal entity with multiple employees being a member.
  • Individual: An individual being a member.
  • LAA Sponsor: An established company bolstering LAA’s presence in the ecosystem through financial sponsor membership.
  • LAA Corporate: An established individual or company bolstering LAA’s presence in the ecosystem through corporate membership.
  • LAA Member: An established individual bolstering LAA’s presence in the ecosystem through membership.

2. Best Practices

  • LAA Members shall conduct their business affairs in a professional manner, refraining from actions detrimental to the market or the reputation of LAA.
  • LAA Members shall uphold and promote ethical standards of behaviour, consistently engaging with all parties in a fair and honest manner.
  • LAA Members shall adhere to the LAA Articles of Association, comply with its articles of association and relevant legal provisions and laws.
  • LAA shall bar entry to members, both individual, corporate or sponsor if suspected of utilizing funds of dubious origin, reserving the right to conduct Anti-Money Laundering/Know Your Customer (AML/KYC) screenings through established service providers.
  • LAA and its Members shall not discriminate on the basis of age, health, gender, sexual orientation, mental or physical disability, origin, language, race, skin colour, ethnicity or nationality, religious or political beliefs, or membership in any social group.
  • LAA Members shall not be involved in genocide, human trafficking, art trafficking, money laundering, illegal poaching, illegal arms trafficking or any environmental disaster or aggression.
  • LAA Members shall refrain from using illegal or unethical means to acquire information, business opportunities, public contracts, or trade secrets. In the event of such offers from Start-up employees, Members must reject them and promptly inform the relevant company management.
  • LAA Members shall disclose any conflicts of interest to the appropriate LAA committee or the LAA board of directors promptly and manage them appropriately.
  • LAA Members shall refrain from engaging in conduct that could tarnish the reputation of LAA, their members, partners or the ecosystem.
  • LAA shall not collaborate with Associate Partners or Sponsors/Partners who fail to comply with this code of conduct.

3. Membership and Fees

  • LAA shall provide transparent information regarding fees charged to LAA Members.
  • LAA Members offering services to partners from the LAA portfolio must disclose such arrangements to their co-members before entering into any contracts.

4. GDPR Compliance

  • LAA, LAA Members, LAA Sponsors/Partners, and all individuals or entities associated with LAA commit to complying with GDPR regulations.

5. Confidentiality

  • All parties shall take reasonable precautions to manage confidential information, including its storage, dissemination, return, and destruction.
  • LAA shall take necessary measures to maintain the privacy and confidentiality of LAA Members information.
  • LAA Members shall store confidential information securely.
  • LAA, upon request, shall return any written information or materials to the requesting party.
  • LAA shall restrict access to information to essential employees, members, and partners for the purpose of assessing and evaluating.
  • These confidentiality obligations shall not apply to information already in the public domain or independently known to LAA Members.

6. Information to LAA

  • LAA Members shall be required to complete an annual confidential survey on partnership with LAA and its activities and members.
  • Collected information, aggregated by LAA, shall remain confidential and unattributed to one specific person or corporate.
  • Aggregated data shall be used to monitor market trends and enhance awareness, improving the environment for agribusiness in and from Luxembourg.

By being a Member of LAA, I affirm my agreement with the terms of this Code of Conduct and commit to its compliance at all times.
